Board Secretary
Reporting into the organisations Board.
Drive effectiveness administrative support to the organisation Board. Ensure compliance with governance procedures and maintain accurate minutes, records, decisions and distribute them.
Key Accountabilities
· Collaborate with the Board and executive team to plan and schedule board meetings, including agenda development.
· Issue meeting notices and distribute relevant documentation to board members in a timely manner.
· Record and track attendance at board meetings, ensuring relevant stakeholders are present for decision-making.
· Attend board meetings to accurately record minutes, resolutions, and key discussions.
· Prepare and distribute meeting minutes promptly after each session/ or if requested after alignment with relevant board members.
· Ensure that the board operates in compliance with the organization’s policies.
· Maintain an organized and up-to-date repository of board records, including meeting minutes, resolutions, and official documents.
· Serve as a liaison between the Board and executive leadership, ensuring effective communication.
· Handle official correspondence to and from the Board, responding to routine inquiries and directing complex issues to the appropriate party.
· Work with relevant teams to compile information for the annual report, ensuring accurate representation of board activities.
· Assist in the preparation and submission of required regulatory filings related to board activities
